1. Introduction
These Terms of Service ("Terms") govern your access to and use of Licentia, including our websites, web applications, AI-assisted tools, academic research features, writing assistance features, document-processing tools, citation tools, study tools, statistics tools, billing features, subscriptions, credits, and related services (collectively, the "Services").
Licentia is operated by TRUP LLC, a Wyoming limited liability company ("TRUP," "we," "us," or "our"). Licentia is a product name only and does not refer to a separate legal entity, registered DBA, or separately incorporated company.
By accessing or using the Services, you agree to these Terms and to our Privacy & Cookie Policy and AI, Academic Integrity & Acceptable Use Policy, each of which is incorporated into these Terms by reference.

3. What Licentia Is
Licentia is an AI-assisted academic research, writing, study, citation, document-processing, statistics, and productivity assistant. The Services may help users draft, analyze, summarize, transform, organize, cite, study, or process academic and user-provided materials.
Licentia is not a ghostwriting service, law firm, legal advisor, academic advisor, publisher, plagiarism checker, professional statistics consultant, or substitute for your own judgment, verification, institutional obligations, or professional advice.
4. Eligibility
You must be at least 13 years old to use the Services. If you are under 18, you may use the Services only with the consent and supervision of a parent, legal guardian, school, university, or authorized institution.
You may not use the Services if you are prohibited from doing so under applicable law, sanctions rules, export control rules, institutional rules, or these Terms.
5. Accounts and Login
You may need an account to access certain features. We may support login methods such as local email/password authentication, Google Sign-In, Apple Sign-In, or other authentication methods we make available from time to time.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly at hello@licentia.io if you believe your account has been compromised.
We may require email verification, additional checks, or account review before enabling or continuing access to certain Services.
6. User Responsibilities
You are solely responsible for:
- the content you upload, submit, import, process, or generate through the Services;
- verifying all AI outputs, citations, sources, references, calculations, OCR results, summaries, and generated text;
- complying with your school, university, publisher, employer, research institution, or other applicable rules;
- ensuring that your use of the Services does not constitute plagiarism, cheating, academic misconduct, copyright infringement, privacy violation, or unlawful conduct;
- obtaining all rights, consents, and permissions needed to upload or process any content;
- determining whether any output is suitable for your intended use.
7. Academic Integrity
Licentia is intended to assist learning, research, drafting, organization, study, and productivity. You may not use Licentia to cheat, misrepresent authorship, fabricate sources, evade institutional rules, submit work where AI assistance is prohibited, or engage in academic misconduct.
You remain solely responsible for understanding and following the academic integrity rules that apply to you.
8. User Content
"User Content" means any text, files, documents, datasets, PDFs, notes, prompts, instructions, images, metadata, academic materials, citations, references, feedback, or other materials that you upload, submit, provide, import, or generate through the Services.
You retain ownership of your User Content, subject to the license granted below. You represent and warrant that you have all rights, permissions, and lawful authority necessary to provide and process your User Content through the Services.
You grant TRUP a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, transform, analyze, parse, index, summarize, cite, format, export, and otherwise use your User Content solely as reasonably necessary to provide, maintain, secure, improve, troubleshoot, and support the Services, comply with law, enforce these Terms, prevent abuse, and operate related infrastructure.
9. AI Outputs and Generated Content
Subject to your compliance with these Terms, TRUP assigns to you any rights it may have in outputs generated specifically for you by the Services, to the extent permitted by applicable law.
However, due to the nature of AI systems:
- similar or identical outputs may be generated for other users;
- outputs may not be unique, exclusive, copyrightable, registrable, accurate, complete, lawful, non-infringing, plagiarism-free, publication-ready, institution-compliant, or suitable for your intended purpose;
- TRUP does not guarantee ownership, originality, exclusivity, non-infringement, or legal protectability of any output.
You are solely responsible for reviewing, verifying, editing, and validating all outputs before using, submitting, publishing, relying on, or distributing them.
10. AI Providers and Third-Party Processing
AI-powered features may send prompts, instructions, uploaded content, source excerpts, metadata, outputs, and related information to third-party AI infrastructure providers, model routing providers, model providers, OCR providers, academic source providers, and other service providers.
AI providers, models, routing paths, infrastructure providers, and availability may change over time. TRUP does not guarantee that any specific model, provider, endpoint, routing configuration, retention mode, or AI capability will remain available.
TRUP does not use Customer Content to train TRUP-owned public AI models. However, third-party AI providers may process information according to their own terms, privacy policies, data retention settings, logging settings, model provider policies, and routing policies. TRUP does not control all independent practices of downstream model providers.
11. Subscriptions, Credits, and Billing
Certain features may require a paid subscription, credit package, usage-based payment, promotional credit, or other paid access.
Credits are a limited, revocable, non-transferable, non-cash account balance that may be used only within the Services. Credits have no cash value, are not legal tender, are not a stored-value account, and may not be exchanged, transferred, sold, withdrawn, or redeemed for money.
Purchased credits expire one year after purchase unless otherwise stated. Monthly subscription credits do not roll over. Annual subscriptions allocate credits on a monthly basis, and unused monthly credits do not carry over to later months.
Promotional credits, signup bonuses, trials, discounts, or similar offers have no cash value and may be changed, limited, revoked, or discontinued at any time.
12. Subscription Cancellation
If subscriptions are offered, you may cancel your subscription through the account, billing portal, or other method made available by Licentia. Unless otherwise stated, cancellation takes effect at the end of the then-current billing period. No prorated refunds are provided unless required by applicable law or expressly approved by Licentia in writing.
13. No Refunds
All purchases are final and non-refundable, including subscription fees and credit packages, except where required by applicable law or expressly approved by Licentia in writing.
Consumed credits are non-refundable. Unused credits are non-refundable. Subscription payments are non-refundable. Credit packages are non-refundable.
14. Failed Jobs and Re-Credits
If a job fails due to a technical processing error attributable to Licentia's systems, Licentia may automatically or manually re-credit the affected credits to your account.
Dissatisfaction with output quality, inaccurate AI output, hallucinations, unsupported input, insufficient instructions, citation issues, user error, third-party provider limitations, source quality issues, formatting preferences, or institutional rejection do not automatically qualify as failed jobs.
15. Payment Processors and Crypto Payments
Payments may be processed by third-party payment processors, including Creem, Plisio, Stripe, or other providers we may use from time to time. Payment processors may collect and process billing information according to their own terms and privacy policies.
If cryptocurrency or blockchain-based payments are supported, you are solely responsible for wallet addresses, network selection, transaction fees, blockchain confirmation delays, exchange rate fluctuations, underpayments, overpayments, irreversible transfers, and payment processor rules. TRUP is not responsible for wallet mistakes, blockchain network issues, third-party processor delays, exchange losses, or failed transactions outside our control.
16. Chargebacks and Payment Abuse
Chargebacks, payment disputes, suspected payment abuse, fraud, misuse of promotional credits, or attempts to avoid payment may result in suspension, restriction, or termination of your account and access to the Services.
17. Acceptable Use
You must use the Services lawfully and responsibly. You may not:
- violate laws, regulations, sanctions, export controls, or third-party rights;
- use Licentia for cheating, plagiarism, academic misconduct, or institutional rule evasion;
- upload or process content you do not have rights to use;
- upload malware, harmful files, illegal content, or abusive content;
- attempt to reverse engineer, scrape, overload, disrupt, or abuse the Services;
- bypass rate limits, credit limits, access controls, billing systems, or security systems;
- extract models, prompts, system instructions, or proprietary methods;
- use the Services for high-risk, legally binding, safety-critical, or fully automated decision-making;
- use the Services to generate or facilitate fraud, phishing, spam, harassment, hate, threats, exploitation, or unlawful activity.

18. High-Risk Use Prohibited
You may not use Licentia for high-risk, legally binding, safety-critical, or fully automated decision-making purposes, including decisions relating to employment, credit, housing, insurance, healthcare, legal rights, immigration, education admissions, disciplinary outcomes, or access to essential services.
19. Copyright Complaints
If you believe content processed through or made available through the Services infringes your copyright, you may send a copyright complaint to hello@licentia.io. Your notice should include sufficient information for us to identify the allegedly infringing material and contact you.
20. Service Changes
We may modify, suspend, discontinue, limit, replace, or remove any part of the Services, including models, tools, credit pricing, plans, features, providers, routing, storage, exports, document tools, and availability, at any time.
21. Suspension and Termination
We may suspend, restrict, or terminate your account or access to the Services if we believe you violated these Terms, created legal risk, abused the Services, engaged in payment abuse, created security risk, infringed third-party rights, or used the Services in a way that may harm us, other users, providers, or the public.
You may stop using the Services at any time. Certain provisions, including ownership, disclaimers, limitation of liability, payment obligations, indemnity, dispute resolution, and provisions that by their nature should survive, will survive termination.
22. Security
We use reasonable technical and organizational measures designed to protect the Services and personal information. However, no system is completely secure. We do not guarantee that the Services will be uninterrupted, error-free, fully secure, or free from unauthorized access.
23. No Warranties
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.
TRUP disclaims all warranties, including warranties of accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, title, non-infringement, academic acceptance, publication readiness, plagiarism-free status, citation correctness, source reliability, uninterrupted availability, and error-free operation.
24. AI and Academic Disclaimer
TRUP does not warrant that AI outputs, sources, citations, OCR results, document parsing, statistical outputs, study materials, drafts, summaries, recommendations, or generated materials will be accurate, complete, current, lawful, non-infringing, plagiarism-free, publication-ready, institution-compliant, or suitable for any purpose.
You must independently verify all outputs, citations, sources, calculations, and conclusions.
25. Limitation of Liability
To the maximum extent permitted by applicable law, TRUP and its affiliates, officers, members, managers, employees, contractors, service providers, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, revenue, business, opportunity, goodwill, reputation, data, content, academic standing, publication opportunity, credits, tokens, or other intangible losses.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, warranty, or any other legal theory, even if TRUP has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, TRUP's total aggregate liability for all claims relating to the Services will not exceed the greater of: (a) the amount you paid to TRUP for the specific paid Service giving rise to the claim during the three months before the event giving rise to liability; or (b) USD $100.
26. Indemnification
You agree to defend, indemnify, and hold harmless TRUP and its affiliates, officers, members, managers, employees, contractors, service providers, licensors, and partners from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
- your use of the Services;
- your User Content;
- your outputs or use of outputs;
- your violation of these Terms;
- your violation of law or third-party rights;
- your academic, professional, institutional, or publication use of the Services;
- your payment disputes, chargebacks, or billing abuse.
27. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
28. Informal Resolution
Before filing a claim, you agree to first contact us at hello@licentia.io and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days after notice, either party may proceed as permitted below.
29. Arbitration, Class Action Waiver, and Jury Trial Waiver
To the maximum extent permitted by applicable law, disputes arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, not in court, except that either party may bring a qualifying claim in small claims court or seek injunctive relief for intellectual property misuse, unauthorized access, or security abuse.
Arbitration will be conducted on an individual basis. You and TRUP waive any right to participate in class actions, class arbitrations, collective actions, representative actions, consolidated proceedings, or jury trials.
Where required for enforceability, you may opt out of arbitration by emailing hello@licentia.io within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out."
30. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date indicates the latest revision. Material changes may be notified through the Services, email, or other reasonable means. Continued use of the Services after the effective date of updated Terms means you accept the updated Terms.
31. Entire Agreement
These Terms, together with the Privacy & Cookie Policy, AI, Academic Integrity & Acceptable Use Policy, and any applicable written agreement or Data Processing Addendum, form the entire agreement between you and TRUP regarding the Services.
